• "Service" refers to Verustrict's AI-powered business intelligence platform, including all features, tools, and integrations.
• "User," "You," "Your" refers to the individual or entity accessing the Service.
• "Company," "We," "Us," "Our" refers to Verustrict, Inc.
• "Content" includes data, text, software, graphics, and other materials.
• "Account" means your registered user account on our platform.

2. Eligibility

To use our Service, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable law
• Provide accurate and complete registration information

3. Account Registration

3.1 Account Creation

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You are solely responsible for:

• All activities that occur under your account
• Losses resulting from unauthorized use of your account

4. Acceptable Use

You may use the Service for:

• Team collaboration within your organization

4.2 Prohibited Activities

You agree NOT to:

5. Subscription and Billing

5.1 Pricing

Current pricing is available at verustrict.com/pricing. We reserve the right to modify pricing with 30 days' notice.

5.2 Payment Terms

• Subscriptions are billed in advance (monthly or annually)
• Payment is due upon invoice or renewal date
• Late payments may result in service suspension
• All fees are non-refundable unless otherwise stated

5.3 Free Trial

• 14-day free trial available for new customers
• No credit card required to start trial
• Automatic conversion to paid plan requires payment method
• Cancel anytime during trial without charge

5.4 Cancellation and Refunds

• Cancel subscription anytime from account settings
• Cancellation effective at end of current billing period
• No refunds for partial months
• Annual plans: prorated refund if cancelled within 30 days

6. Data and Privacy

6.1 Your Data

You retain all rights to data you upload to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service.

6.2 Data Protection

We implement industry-standard security measures to protect your data. See our Privacy Policy and Security page for details.

6.3 Data Processing Agreement

For enterprise customers processing personal data, a Data Processing Agreement (DPA) is available upon request.

7. Intellectual Property

7.1 Our IP

The Service, including all software, algorithms, designs, and trademarks, is owned by Verustrict and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term.

7.3 Feedback

If you provide feedback or suggestions, we may use them without compensation or attribution.

8. Service Level and Support

8.1 Availability

• Target Uptime: 99.9% (excluding scheduled maintenance)
• Maintenance Windows: Announced 48 hours in advance
• Status Page: status.verustrict.com

8.2 Support

• Starter Plan: Email support (24-hour response time)
• Professional Plan: Priority support (4-hour response time)
• Enterprise Plan: 24/7 dedicated support + account manager

9. Warranties and Disclaimers

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

9.2 AI Outputs

AI-generated insights and recommendations are provided for informational purposes only. We do not guarantee accuracy, completeness, or suitability for your specific use case. You are solely responsible for decisions based on AI outputs.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS, DATA BREACHES CAUSED BY YOUR NEGLIGENCE, OR FORCE MAJEURE EVENTS

11. Indemnification

You agree to indemnify and hold harmless Verustrict from claims arising from:

• Your violation of these Terms
• Your violation of any rights of another party
• Your misuse of the Service
• Your breach of applicable laws

12. Termination

12.1 By You

Cancel your subscription anytime from account settings.

12.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• Payment is overdue
• We believe your account poses a security risk
• Required by law

12.3 Effect of Termination

• Access to the Service will cease immediately
• Customer Data will be available for export for 30 days
• After 30 days, we may delete your data

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the District of Columbia and the United States, without regard to conflict of law principles.

13.2 Arbitration

Any dispute will be resolved through binding arbitration in Washington, DC, administered by the American Arbitration Association (AAA), except:

• Small claims court proceedings
• Intellectual property disputes

13.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class action lawsuits.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via:

• Email to your registered address
• In-app notification
• Prominent notice on our website

Continued use after changes constitutes acceptance of the new Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Verustrict.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 No Waiver

Failure to enforce any right or provision does not waive our right to enforce it in the future.

15.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
